Terms and Conditions

Welcome to Coast 2 Coast Signing Services, a SoCal Signing Co. Inc ( hereby known as Coast2Coast Signings). You must agree to the following Terms and Conditions of this independent contractor agreement ("Agreement") before receiving mobile notary dispatch orders from Coast2Coast Signings, and before using the Coast2Coast Signings website ("Site").  By using our Services or indicating your agreement on the notary registration web page, you are agreeing to become bound by these terms of our Service.  This is a legally binding agreement.  If you do not agree to these terms, you should not use Coast2Coast Signings website, you may not receive mobile notary dispatch orders from Coast2Coast Signings, you may not perform any work for Coast2Coast Signings ("Services"), and you should request termination of any account you may have with Coast2Coast Signings.

This Agreement constitutes the entire and only agreement between us and you, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Site and the Services, the services provided by or through the Site or otherwise through Coast2Coast Signings, and the subject matter of this Agreement. This Agreement may be amended at any time from time to time by us without specific notice to you. The latest Agreement will be posted on the Site, and you should review this Agreement prior to using the Site.

1. Coast2Coast Signings is a nation-wide traveling notary network. We are the only international signing company and have well over 60,000 signing agents who provide fast, professional, and courteous service to homeowners in the process of financing properties. 

 

2.  Engagement.

Coast2Coast Signings hereby engages you, and you hereby accept such engagement, subject to the terms and conditions set forth in this Agreement, to perform mobile notary signing services on behalf of and for Coast2Coast Signings (the "Services").

 

3.  Compensation.

In consideration of your performance of the Services as provided herein, Coast2Coast Signings agrees to pay you the amount specified and arranged at the time of accepting the order from Coast2Coast Signings.  If a FULL EMAILED LOAN DOC signing does not get completed for any reason, there will be a $10-$20 trip fee plus a $5-$20 print fee if the same documents are not approved to be used for rescheduling later. For other products, such as misc. docs or Loan Modification signings, the no-sign fee is $10-$15, depending on the specific circumstances.

If a particular signing requires you to make more than one trip, you will be paid per trip; however, any additional trips MUST be authorized by a Coast 2 Coast Signing Services, a SoCal Signing Co. Inc representative, or you will not be compensated for such additional trip. If you, as a notary signing agent, fail to complete any document or an error has been made, the correction will be completed at your expense. If said document (s) needs to be shipped the shipping will be deducted from your fee.

Coast 2 Coast Signing Services, a Coast 2 Coast Signing Services, a SoCal Signing Co. Inc will pay you Net 30 days, with all checked mailed out on Fridays. (We write checks on Fridays only.)

 

4.  Expenses.

Coast 2 Coast Signing Services, a SoCal Signing Co. Inc shall not be responsible for any expenses you accrue in performing the Services.  You shall be responsible for payment of all your business expenses, and all taxes and license fees assessed by any governmental unit in order for you to perform the Services hereunder, and you shall be responsible for payment of all dues to any professional organization of which you are a member.

 

5.  Term and Termination.

This Agreement shall be effective and shall remain in full force and effect for a period of one (1) year, unless earlier terminated as provided herein.  After the initial term, if the Agreement has not been terminated, the Agreement shall automatically renew for consecutive one-year terms.

Either party may terminate this Agreement at any time with written notice to the other party.  Furthermore, Coast 2 Coast Signing Services, a SoCal Signing Co. Inc may terminate this Agreement at any time, for any reason or for no reason, by sending you notice of such termination.

Upon termination or expiration of your engagement with Coast 2 Coast Signing Services, a SoCal Signing Co. Inc for any reason, you shall immediately return to Coast 2 Coast Signing Services, a SoCal Signing Co. Inc all documents, promotional materials, property and other records of Coast 2 Coast Signing Services, a SoCal Signing Co. Inc, and all copies thereof, are within your possession, custody or control.

 

6.  Your Responsibilities.

As Notary for Coast 2 Coast Signing Services, a SoCal Signing Co. Inc,

You must be eighteen (18) years of age to use the service, and by agreeing to these terms and using their Service you hereby represent and guarantee that you are at least eighteen years of age.

You hereby warrant that you are a certified notary under the state of where you will be performing signings, that comply with the minimum bond requirements of your state. and be background checked with the National Notary Association every year and provide proof of this by uploading to our web platform, The Docloud.

You must act and dress in a professional manner at all times. Unprofessional attire and attitude will not be tolerated, as quality control checks are often implemented. Unacceptable conduct and inadequate service may result in the termination of this Agreement.

Unless hired to act as an attorney, you agree to act only as a notary under this Agreement and not to give legal advice to customers.  You acknowledge that you are there only to "witness" the signatures of the signers and ensure all signatures, dates and notarizations are completed accurately.

You understand that Coast 2 Coast Signing Services, a SoCal Signing Co. Inc is the only institution from which you will receive payment.  All questions regarding your fees and invoicing are not to be directed to the customers (i.e. the borrowers, loan representatives, lenders, etc.).

You agree to make your appointments within an hour of receiving any assignment required by the lender and follow Coast 2 Coast Signing Services, a SoCal Signing Co. Inc's notary guidelines (our instructions as well as the rules that are included in every set of loan documents), which are incorporated herein by reference.

You are responsible for providing and maintaining all personal computer and communications equipment and Internet access accounts necessary to gain access to the SoCal Signing Co. Inc website.

You agree to inform Coast 2 Coast Signing Services, a SoCal Signing Co. Inc of any apparent breaches of security, such as loss, theft, or unauthorized disclosure or use of an I.D., or password.  Until SoCal Signing Co. Inc is notified, by electronic or conventional mail of a breach of security, you will remain liable for any unauthorized use of your Coast 2 Coast Signing Services, a SoCal Signing Co. Inc account.

You agree to use Coast 2 Coast Signing Services, a SoCal Signing Co. Inc Services in a manner consistent with any and all applicable laws and regulations. 

You acknowledge that under no circumstances will you upload any viruses, ActiveX or Java installers, or Internet Explorer Exploits onto the Site.

You hereby agree that you will not delegate your responsibilities under this agreement to another person, under any circumstances.  This agreement is not assignable in any way.

If you violate the restrictions in these Terms & Conditions of Service, you agree to indemnify Coast 2 Coast Signing Services, a SoCal Signing Co. Inc for any losses, costs, or damages, including reasonable attorney fees incurred by Coast 2 Coast Signing Services, a SoCal Signing Co. Inc and relating to, or arising out of such a breach.  You, not Coast 2 Coast Signing Services, a SoCal Signing Co. Inc, are responsible for your behavior on the Coast 2 Coast Signing Services, a SoCal Signing Co. Inc website and at signings facilitated by Coast 2 Coast Signing Services, a SoCal Signing Co. Inc.

You understand and acknowledge that Coast 2 Coast Signing Services, a SoCal Signing Co. Inc does not screen our customers. You understand that Coast 2 Coast Signing Services, a SoCal Signing Co. Inc shall not be liable for any damages that arise out of services rendered to the customers through the Coast 2 Coast Signing Services, a SoCal Signing Co. Inc service.

You agree to maintain a notary public journal / record / log; even if you were commissioned in a state with does require it.

 

7.  Independent Contractor.  

You agree that you shall act as an independent contractor in the performance of your services hereunder.  Nothing in this Agreement is intended nor shall it be construed to constitute you as a partner, employee or agent of Coast 2 Coast Signing Services, a SoCal Signing Co. Inc or you being in a joint venture relationship with Coast 2 Coast Signing Services, a SoCal Signing Co. Inc, and neither you nor Coast 2 Coast Signing Services, a SoCal Signing Co. Inc shall have any authority whatsoever to bind the other in any manner.  You warrant that you will not hold yourself out to be or represent to anyone that you are an employee of Coast 2 Coast Signing Services, a SoCal Signing Co. Inc, or that your relationship to Coast 2 Coast Signing Services, a SoCal Signing Co. Inc is other than that of an independent contractor.  You agree to indemnify and hold Coast 2 Coast Signing Services, a SoCal Signing Co. Inc harmless from any and all liability arising out of or with respect to any representation or promise made by you which bind Coast 2 Coast Signing Services, a SoCal Signing Co. Inc or any agreement entered into by you on behalf of Coast 2 Coast Signing Services, a SoCal Signing Co. Inc.  You shall be and agree to be solely responsible for the payment or withholding of any and all income, employment, FICA, unemployment insurance, social security or other payroll taxes, state disability and any other payroll deductions required to be paid or withheld with respect to your compensation, as well as any insurance you may choose to carry.  You acknowledge that as an independent contractor you are not entitled nor will Coast 2 Coast Signing Services, a SoCal Signing Co. Inc make available to you any of the benefits afforded to employees of Coast 2 Coast Signing Services, a SoCal Signing Co. Inc.  You agree to indemnify and hold Coast 2 Coast Signing Services, a SoCal Signing Co. Inc harmless from any and all liability arising out of or with respect to such payments, withholdings and benefits, if any.  You hereby agree to maintain workman's compensation insurance in accordance with applicable state and federal laws when employing other employees.  In addition, you shall maintain comprehensive general and vehicular insurance for claims of damages of bodily injury (including death) and property damage caused by or arising out of acts or omissions of your employees.  You further understand the following:

Coast 2 Coast Signing Services, a SoCal Signing Co. Inc will not reimburse you for any expenses you incur in performing the Services

You are free to perform notary tasks for others outside of your obligations to Coast 2 Coast Signing Services, a SoCal Signing Co. Inc (i.e. There is no "exclusivity agreement" between you and Coast 2 Coast Signing Services, a SoCal Signing Co. Inc); and

If you earn over $600 per year, or any future minimum amount dictated by the IRS, then Coast 2 Coast Signing Services, a SoCal Signing Co. Inc will issue you a form 1099-MISC and report such income to the IRS.

 

8. SMS Terms and Conditions.

Mobile Opt-In Disclosure: By providing your mobile number and clicking “Subscribe,” you agree to receive SMS messages from Coast2Coast Signings Inc., a global concierge signing service supporting mobile notaries, escrow officers, title companies, and lenders.
Messages may include signing order updates, scheduling confirmations, status notifications, account alerts, and service-related communications.
By opting in, you confirm that you are the account holder or have authorization to opt in, and you understand that your consent is not a condition of receiving services from Coast2Coast Signings Inc.
Message and data rates may apply, depending on your mobile carrier.

Message Frequency Disclosure: Recurring messages will be sent based on your activity and may vary. You may receive multiple messages per signing order or service request. Message frequency will vary based on activity but may include multiple messages per signing order or service request.

Mobile Opt-Out Disclosure: You can opt out at any time by replying STOP. You may receive one final message confirming you're opt-out request.

9.  Copyright & License.

The content, HTML, Flash files, databases, web scripts, organization, graphics, design, compilation, magnetic translation, digital conversion and other matters related to the Site are protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights. The copying, redistribution, use or publication by you of any such matters or any part of the Site is strictly prohibited. You do not acquire ownership rights to any content, document or other materials viewed through the Site.

 

10.  Trademarks.

Coast 2 Coast Signing Services, a "SoCal Signing Co. Inc" and "SoCal Signing Co. Inc" are either trademarks or registered trademarks of Coast 2 Coast Signing Services, a SoCal Signing Co. Inc, LLC.

 

11.  Indemnification.

You agree to indemnify, defend and hold us and our partners, attorneys, staff and affiliates (collectively, "Affiliated Parties") harmless from any liability, loss, claim and expense, including reasonable attorneys' fees, related to your violation of this Agreement, your use of the Site, your performance of the Services, or the relationship between you and any customer or client of Coast 2 Coast Signing Services, a SoCal Signing Co. Inc.

 

12.  Nontransferable.

Your right to perform the Services and use the Site is not transferable.  Furthermore, any password or right given to you to obtain information or documents is not transferable.

 

13. Disclaimer and Limits.

THE SITE AND INFORMATION FROM OR THROUGH THE SITE IS PROVIDED "AS IS," "IS AVAILABLE," AND ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED (INCLUDING, BUT NOT LIMITED TO, THE DISCLAIMER OF ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE). THE INFORMATION AND SERVICES PROVIDED THROUGH THE SITE MAY CONTAIN BUGS, ERRORS, PROBLEMS OR OTHER LIMITATIONS. WE AND OUR AFFILIATED PARTIES HAVE NO LIABILITY WHATSOEVER FOR YOUR USE OF ANY INFORMATION OR SERVICE, OR LIABILITY ARISING OUT OF THE RELATIONSHIP BETWEEN YOU AND CUSTOMERS OF Coast 2 Coast Signing Services, a SoCal Signing Co. Inc. IN PARTICULAR, BUT NOT AS A LIMITATION THEREOF, WE AND OUR AFFILIATED PARTIES ARE NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, LITIGATION, OR THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE NEGATION OF DAMAGES SET FORTH ABOVE IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN US AND YOU. THIS SITE, SERVICES AND THE INFORMATION WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US THROUGH THE SITE SHALL CREATE ANY WARRANTY, REPRESENTATION OR GUARANTEE NOT EXPRESSLY STATED IN THIS AGREEMENT.

ALL RESPONSIBILITY OR LIABILITY FOR ANY DAMAGES CAUSED BY VIRUSES CONTAINED WITHIN THE ELECTRONIC FILE CONTAINING THE Coast 2 Coast Signing Services, a SoCal Signing Co. Inc FORMS OR DOCUMENTS ARE DISCLAIMED. WE WILL NOT BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND THAT MAY RESULT FROM USE OF OR INABILITY TO USE OUR SITE. OUR MAXIMUM LIABILITY TO YOU UNDER ALL CIRCUMSTANCES WILL BE EQUAL TO THE AGGREGATE FEES THAT SoCal Signing Co. Inc HAS PAID YOU FOR YOUR SERVICES OVER THE COURSE OF THE TERM.

 

14. Privacy Policy.  

SoCal Signing Co, Inc Dba Coast2Coast Signing Services Inc. takes the privacy of our customers very seriously. The following details our Privacy Policy regarding the information, including Personal Information (as defined below), that we collect from our customers in connection with our notary services (the “Services”) that we offer on our website, https://coast2coastsignings.com/ and related mobile applications (collectively the “Site”).

This Privacy Policy describes: (i) the customer information we collect, including Personal Information, how long we retain it and why; (ii) how we use information and Personal Information and when (and if) we share it with third parties; (iii) the choices you can make about how your Personal Information is collected, used and shared; (iv) how to correct, delete or transfer your Personal Information; and (v) the data security, accuracy and access measures we have adopted to protect Personal Information under our control from loss, misuse or alteration.

RESPONSIBILITY FOR YOUR INFORMATION

SoCal Signing Co, Inc Dba Coast2Coast Signing Services Inc. is the data controller with respect to all the information, including Personal Information, collected from visitors to the Site and users of our Services. The obligation of a controller is to provide you with information of what, why and how we process your information.
 
Where SoCal Signing Co, Inc Dba Coast2Coast Signing Services Inc. is not the controller you will be adequately informed.

Whether or not to provide Coast2Coast Signings, Inc with Personal Information is completely your own choice. But if you choose not to provide the information we request, you will be unable to use our Services.

By submitting your Personal Information to Coast2Coast Signings, Inc you agree that you do not object to any transfer, processing, or storage of Personal Information in accordance with this Privacy Policy.

USE OF PERSONAL INFORMATION

Your Personal Data will normally be used by SoCal Signing Co, Inc Dba Coast2Coast Signing Services Inc. for purposes such as:

•    Providing and administering our Services.
 
•    Administering our relationship with you and responding to inquiries.

Transfer of Assets

If all or substantially all of our business assets were acquired, or in the unlikely event that we go out of business or enter into bankruptcy, customer information (including your Personal Information), would be one of the assets that is transferred or acquired by a third party. You acknowledge that such transfers may occur, and that any assets, including your Personal Information, may continue to be used as set forth in this Privacy Policy.

SHARING PERSONAL INFORMATION

We do not provide Personal Information to any unaffiliated parties or third parties, except in certain circumstances as set forth in this Privacy Policy.
 
In providing the Services we may need to share your Personal Information with our partners and different service providers or suppliers that we work with. This does not adversely affect your rights. We will take all reasonable steps necessary to ensure transferred information is kept secure as required by applicable data privacy laws (including GDPR).

We also transmit a notarized document to anyone you authorize (an “Authorized Recipient”) through your use of the Site. You expressly agree that SoCal Signing Co, Inc Dba Coast2Coast Signing Services Inc. is in no way liable under equity or law for the use of any of the information, including Personal Information, which is transmitted to or received by an Authorized Recipient from SoCal Signing Co, Inc Dba Coast2Coast Signing Services Inc.

Please be advised that in certain circumstances, SoCal Signing Co, Inc Dba Coast2Coast Signing Services Inc. may be required to disclose your Personal Information to governmental organizations, attorneys and private agencies that conduct relevant criminal and civil investigations, or otherwise as required by our legal obligations.

RETENTION AND TRANSFER OF PERSONAL INFORMATION

We retain Personal Information as necessary to service your use of the Site. We also keep Personal Information, meta data, documentation, and any other relevant information associated with a notarized transaction as permitted and/or required by law.

When the retention time is reached your information may be destroyed. You may also ask SoCal Signing Co, Inc Dba Coast2Coast Signing Services Inc. to transfer your Personal Information upon request. Please contact office@c2csignings.com to request transfer of your Personal Information or for more information regarding retention time and retention of information.

ACCURACY OF PERSONAL INFORMATION

We want to keep your Personal Information as correct and updated as possible. If your Personal Information is incorrect or has changed, please inform us by sending us an email to office@c2csignings.com.
 

YOUR RIGHTS AND COMMUNICATIONS

You have the right to make the following request to SoCal Signing Co, Inc Dba Coast2Coast Signing Services Inc.:

•    Access your Personal Information (data subject access request).
•    Correction of your Personal Information.
•    Erase or transfer of your Personal Information.
•    Restrict processing of your Personal Information.
•    Object to the processing of your Personal Information; and
•    Withdrawal of your consent for collection of Personal Information.

Following your initial transaction on our Site, we want to continue to communicate with you only if you want to hear from us. If you prefer not to receive information from us, please let us know by sending your written request via email to office@c2csignings.com. Please provide your full name, email address, and describe specifically what information you do not want to receive. Please note that it may take up to two weeks for your request to become effective.

SPECIAL INFORMATION FOR CALIFORNIA RESIDENTS

Under California Civil Code sections 1798.83-1798.84, also known as the “Shine the Light Law,” any users of the Service who are California residents are entitled to request and receive once a year, free of charge, a notice from us describing what categories of personal customer information (if any) we shared with third parties, including our corporate affiliates, for their direct marketing purposes during the preceding calendar year. If applicable, the notice will identify the categories of information that we shared, and the names and addresses of the third parties and affiliates with which we shared your information. SECURITY

Your account information is password-protected for your privacy and security. SoCal Signing Co, Inc Dba Coast2Coast Signing Services Inc. will never ask you for your password in an unsolicited phone call or e-mail. You are responsible for maintaining the secrecy of your password and account information. Remember to sign out of your account and close your browser window when you are done, to help ensure that others cannot access your Personal Information.

LINKS TO THIRD PARTY SITES

Please be aware that our Site may contain links to other sites hosted by third parties. SoCal Signing Co, Inc Dba Coast2Coast Signing Services Inc. does not control and is thus not responsible for the content or privacy practices and policies of such other sites. We encourage our users to be aware when they leave our Site and to read the privacy statements of each website that collects Personal Information.
 
PRIVACY POLICY CHANGES

SoCal Signing Co, Inc Dba Coast2Coast Signing Services Inc. reserves the right to amend, alter, or otherwise change this Privacy Policy at our sole and absolute discretion. If we modify this Privacy Policy, we will update our terms and conditions and may specifically ask you to agree to the modified terms to continue using the Services. Otherwise, further use of the Services following any such change constitutes your agreement to follow and be bound by the modified Privacy Policy.
 


15. Miscellaneous.

This Agreement shall be treated as though it were executed and performed in Upland, California, and shall be governed by and construed in accordance with the laws of the State of California (without regard to conflict of law principles). Any cause of action by you with respect to the Site or the Services (and/or any information, products or services related thereto) must be instituted within one (1) year after the cause of action arose or be forever waived and barred. All actions shall be subject to the limitations set forth in Section 10. The language in this Agreement shall be interpreted as in accordance with its fair meaning and not strictly for or against either party.

If any controversy or dispute arising from or relating to this Agreement, the Site or the Services, even if arising after termination of this Agreement, cannot be resolved through mutual agreement, the sole means of resolving the controversy will be binding arbitration under the auspices of the American Arbitration Association ("AAA") in San Francisco, California, in accordance with the AAA's then-existing Commercial Arbitration Rules.  The arbitration award may be enforced as a judgment by a court of competent jurisdiction.  This arbitration provision will apply to all disputes between you and Coast 2 Coast Signing Services, a SoCal Signing Co. Inc, and will survive termination of our relationship and this Agreement.  You acknowledge that you understand the consequences of agreeing to binding arbitration, including that you are giving up any and all constitutional and statutory rights to have disputes between us determined by a court of law or equity or by a jury; that discovery of information in arbitration may be limited; and that the arbitration decision will be final and binding, except to the limited extent that law provides for judicial review of arbitration proceedings and decisions.  If for any reason this foregoing mandatory arbitration provision is invalid or unenforceable, then all legal proceedings arising out of or in connection with this Agreement shall be brought solely in San Francisco, California. You expressly submit to the exclusive jurisdiction of said courts and consent to extraterritorial service of process. Should any part of this overall Agreement be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. To the extent that anything in or associated with the Site is in conflict or inconsistent with this Agreement, this Agreement shall take precedence. Our failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision.
